Code of Conduct for Suppliers

 

Introduction

At Springbok, we are committed to transparency. This supplier Code of Conduct applies to all our suppliers, including their employees, agents, subcontractors, advisors and logistics partners, collectively referred to as “Suppliers”, who provide goods and/or services to Springbok (all existing and future entities under Springbok Group, including Joe Public). This Code of Conduct is an integral part of the agreement between Springbok and the Supplier. It serves as an official document outlining the rules, principles, expectations, and values essential for organizations to operate in a socially, ethically, and environmentally responsible manner. Our aim is to clarify the standards we expect from our suppliers and their supply chains, without conflicting with or modifying the terms of any supplier contract with Springbok. While legal obligations and industry-standard practices provide a necessary baseline, we encourage our partners to exceed regulatory requirements.

Governance and Ethics

We partner with ambitious brands to create lasting positive growth.

We expect our suppliers to:

  • Comply with all relevant national laws and regulations, encompassing human rights, labor standards, health and safety, equality, environmental management, and sustainable development.
  • Conduct themselves ethically, fairly, and professionally when interacting with Springbok and its stakeholders. They should promptly report any breaches or potential breaches of these standards.
  • Provide accurate information regarding their business activities, labor practices, workplace health and safety, and environmental policies, sharing such information truthfully when requested.
  • Refrain from offering, promising, giving, or accepting any form of payment or incentive that could provide an unfair competitive advantage or engage in prohibited conduct limiting free and fair competition.
  • Avoid collusive bidding, price fixing, price discrimination, or other unfair trade practices that violate antitrust laws.
  • Safeguard our company's private and confidential information, using it in accordance with our instructions and preventing unauthorized disclosure, even after our business relationship concludes.

Social Responsibility

At Springbok, we hold social engagement, respect, and integrity in high regard. We assume that our partners share these values. This means they should treat everyone - employees, customers, partners - fairly and with loyalty, while actively avoiding any form of discrimination. Adhering to the law is a given when working with us. Additionally, we request our partners to adopt the same social and ethical standards we uphold and to encourage their own partners and suppliers to do the same.

Springbok expects suppliers to:

  • Respect the rights of their employees and comply with relevant local legislation, regulations, and directives.
  • Not engage in involuntary labor.
  • Employ only workers who meet the applicable minimum legal age requirement.
  • Comply with all other applicable child labor laws.
  • Set working hours, wages, and overtime pay in compliance with applicable laws.
  • Ensure all employees receive at least the minimum legal wage or a wage meeting local industry standards, whichever is greater, or a "living wage".
  • Provide a safe and healthy working environment.
  • Foster a diverse and inclusive workplace where all employees have equal opportunities, regardless of gender, race, age, sexual orientation, or socioeconomic background. Discrimination in hiring and in the workplace is strictly prohibited.
  • Comply with all laws and regulations regarding working conditions.
  • Allow employees to freely associate with others, form or join organizations of their choice, and engage in collective bargaining.
  • Establish a mechanism for employees to report grievances and promote open communication between management and employees.

Environment

Springbok recognizes the importance of environmental responsibility. We encourage our suppliers to minimize their environmental impact while conducting business and to support environmental efforts whenever possible.

Suppliers are expected to:

  • Comply with applicable environmental laws, regulations, and standards.
  • Understand the environmental risks, impacts, and responsibilities associated with their products and services.
  • Implement an effective environmental policy throughout all levels of their organization to mitigate risks.
  • Demonstrate commitment to reducing their negative environmental impacts and provide visibility on their progress.
  • Promote the development and use of environmentally friendly technologies and practices, both internally and throughout their supply chain.
  • Obtain and maintain necessary environmental permits, and file required reports promptly.
  • Handle and dispose of hazardous materials properly.
  • Monitor, control, and treat discharges generated from operations.

Screening

To ensure compliance with these priorities, Springbok may request a specific screening process or conduct one itself, including ethical audits.

Review

This Supplier Code is subject to annual review and we reserve the right to modify this Code at any time. Any changes will be communicated to the Supplier in a timely manner and will become part of the overall supplier agreement upon communication.

Supplier Acceptance

Upon receipt and understanding of this Supplier Code of Conduct, Suppliers commit to adhering to its rules and principles in their relationship with Springbok. If you choose to work with Springbok, you agree to conduct business honestly and ethically as outlined in this code. If adherence becomes an issue, please inform us. After three months, ongoing non-compliance may lead to the termination of our collaboration.
